Agreement and acceptance
This agreement is between JordanSoft LLC and the person purchasing or using the licensed copy of Pellucid. If you purchase on behalf of an organization, you must have authority to accept for that organization, and each license must still be assigned to one named user.
Review this agreement before purchasing. Explicit acceptance is required in the app before starting a trial or activating a purchased license. If you purchased Pellucid and decline this agreement before paid activation, contact support for a full refund. Viewing the agreement does not itself record acceptance or start a trial.
The product and the license
Pellucid is proprietary desktop software from JordanSoft LLC. A purchase licenses its use; it does not transfer ownership of the application or its source code.
The initial offer is the base Pellucid application. E-Invoice and separately priced add-ons are not included in that offer.
One named user, three computers
One license covers one named user on up to three activated computers total. Those computers can use Windows, macOS, and Linux in any combination. A separate purchase for each platform is not required.
The three-computer allowance is not a three-user license or a site license. Final supported architectures and operating-system requirements will be shown on the Downloads page.
Permission to use Pellucid
Subject to this agreement and a valid trial or paid entitlement, JordanSoft grants the named user a nonexclusive license to install and use Pellucid for personal or internal business work within the computer allowance. You may keep backup copies of your eligible installer.
You may not share a license key between users, resell or sublicense it, distribute modified copies of Pellucid, or bypass activation, trial, or license-verification controls. You may not reverse engineer the proprietary application except where applicable law permits it despite this restriction. Third-party components remain subject to their own licenses; this agreement does not remove rights those licenses give you.
Purchase and trial
The approved introductory price is $69 USD for the first 90 days of public commercial availability, followed by $99 USD. The public-availability start date has not been selected. There is no automatic subscription.
A 14-day full-feature trial is planned with the customer release. Starting a trial requires an internet connection. Trial history is retained; reinstalling does not create a new trial.
Continued use and updates
The base license has no scheduled expiration. An initial purchase includes 12 months of updates and email support. After that coverage ends, eligible versions remain usable without purchasing a renewal, subject to activation, verification, and revocation rules.
Version eligibility is determined by the release’s publication date and the license’s update-coverage end, not simply by when you download or install it.
An optional update/support renewal is planned but not available for purchase. If introduced under the approved policy, it adds 12 months from the later of the renewal purchase date or the current coverage end.
Activation and online verification
A license key activates each computer without requiring a separate Pellucid account. Paid licenses must verify online at least once every 28 days. Warnings begin on day 21.
After the verification window expires, reconnect and successfully refresh the license before starting further paid operations. Viewing and recovery-saving existing work remain available. Verification does not buy or extend update coverage.
Moving or replacing computers
Deactivate an accessible old computer inside Pellucid before moving its slot. Uninstalling alone does not release the activation.
If the computer is lost or no longer usable, support can release its slot after checking ownership through the purchase email and order record. Recovery does not reset purchase dates, trial dates, or update coverage.
Refunds and revocation
You can request a full refund within 14 days from the first successful paid-license activation with acceptance of this agreement. The server records this start once per purchased license. The purchase date and acceptance during a free trial do not start the refund window. Additional computers, reinstallations, reactivation, recovery, or later agreement acceptance do not restart it. Update and support coverage still runs from purchase.
If you decline this agreement before paid activation, you can request a full refund even if more than 14 days have passed since purchase. Contact [email protected] from your purchase email address with your order reference. Refund settlement timing depends on the merchant of record and payment provider.
A refunded or revoked license loses paid access when its status is successfully verified; an offline copy is not necessarily invalidated immediately. See the Refund Policy for the request process and the distinction between the trial and refund period.
Third-party services
Assistant providers and online storage services may have their own accounts, charges, limits, and terms. Buying Pellucid does not include unlimited AI usage or override a provider’s policies. The Privacy page describes the information those workflows can involve.
Your documents and decisions
Your documents remain yours. This license gives JordanSoft no ownership of their contents. You are responsible for having permission to work with documents and to share information with any provider you configure.
Keep backups and review changes before relying on an output. Assistant responses and validation results can be incomplete or wrong; they are not a guarantee that a document meets every legal, accessibility, archival, or production requirement.
Support and availability
Included support is email support during your coverage period. There is no guaranteed response time or promise that every reported issue will be corrected. Eligible-version use remains subject to the online-verification requirement even after update/support coverage ends.
An outage does not extend the signed offline-verification deadline. An eligible paid installation can continue within its remaining verification window; after that, successful verification is required before further paid operations. This agreement does not promise uninterrupted online services.
Warranty and liability
To the extent permitted by applicable law, Pellucid is supplied as is and as available, without additional implied warranties of merchantability, fitness for a particular purpose, or noninfringement. This does not reduce the stated refund policy or any mandatory consumer guarantees.
To the extent permitted by applicable law, JordanSoft is not liable for indirect or consequential losses, including lost profits, business interruption, or lost data. JordanSoft’s total liability arising from the affected license is limited to the total amount you paid JordanSoft or its merchant of record for that license and its update/support renewals.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law does not allow to be excluded or limited.
Ending use
You may stop using Pellucid at any time. Stopping use or uninstalling does not itself request a refund, deactivate a computer, or delete licensing records.
For a material breach of this agreement other than a refunded purchase, JordanSoft may terminate the license after giving written notice and 30 days to correct the breach if it can be corrected. A refunded purchase follows the refund and revocation rules above. Ending a license does not transfer or erase your documents, and the application’s documented viewing and recovery-save behavior still applies.
Agreement versions and mandatory rights
This is agreement version pellucid-license-1.1, approved October 4, 2026. It takes effect for you when it is presented and accepted. Keep the version with your purchase record. A later website edit will not silently replace the terms accepted for an existing purchase. Revised terms must be available for review before a later purchase or renewal and explicitly accepted before use under those terms.
This agreement adds no mandatory arbitration, class-action waiver, or exclusive court requirement. Mandatory rights under applicable law take priority over conflicting terms. If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law.
Release status
The agreement is owner-approved. Version 1.1 introduces the first-paid-activation refund window. Rollout and final release qualification remain separate. The software release-catalog timestamp is not a customer acceptance timestamp, and this version is not applied retroactively to earlier purchases accepted under version 1.0.
